OREGON PAG8 NINE Consolidate Interests NEW YORK (UP) Henry J Kaiser plans to consolidate all of his vast industrial empire into one new corporation. The plan, announced Sunday by Kaiser, chairman, and his son, Ed par F. Kaiser, president of both Kaiser Motors and the Henry J. Kaiser Co.. would merge all of the Kaiser holdings into an organtza " lion to be called the Kaiser Indus tries Corp. Under the proposed plan, the Henry J. Kaiser , Co.. would be com a wholly ' owned subsidiary of Kaiser Motors Corp. through an exchange of stocks. The announce ment said the, merger would repay all outstanding debts of Kaiser Motors, including $13,300,000 due the government for a loan that helped launch the corporation. The Kaisers said details of the plan would be fully explained in a proxy statement to be made avail able prior to a special meeting of Kaiser Motors stockholders sched' ulffd for March. The announcement said that Willys Motors, which manufactur es Jeeps and commercial vehicles, would become a wholly owned sub sidiary of the new corporation, free of all its present bank debt. Willys also would be in a belter po sition to carry on Its present profitable vehicle business, Kaiser said. The basis fotthe exchange which would give all present Kais er Motors shareholders stock in the new parent corporation has not been exactly determined, the an nouncement said, but it was be lieved "the present public stock holders of Kaiser Motors would be the owners of not less than four and one half per cent of the common stock of the new Kaiser Industries Corporation."
