Tho reorgani zation of tho tobacco companies, which is being carried on through the agency ot tbo Morton Trust Company, is note worthy an being of tho greatest opera tions of tho kind, in tho amount of clerical labor and bookkeeping in tho history of American finance. The total valuo of the securities to bo received for conversion into stock and bonds of the new American Tobacco Company is 363,568,000, while- tho amount of new securities authorized will be- about 393,000,000. Tho latter, however, in cludes $180,000,000 in common stock of tho new company, of which only about &0,2-,2,4C0 will be loft in the hands of tho public. Tho amount of work involved in .sig natures, verifications, different forms of bookkeeping and registration can prob- nbly be appreciated only by trust com pany officers who have been through similar operations. Five different kinds of certificates will be used in receipt ing for tho old stocks and bonds sur rendered before the new and final secur ities nro ifcsucrt and delivered to tho owners. Tho number of signatures alone required to these documents, as well ns tho work involved for tho higher ofll cent of tho company and for the cleric al force, is almost beyond computation. Tho nearest parallels to this operation hnvo porhaps been tho issue of tho United Stntes Steel Company, and the government loan of .$200,00,000 in tho 3 per cents in tho war with Spain, and: both of thoso cases wcro comparatively simple, becanso they were chiefly direct issuoa of securities to bo dealt with, instead ot tho conversion of several classes of old securities into new and differ on t classes way to change the number of his house.
