To: The Port of Morrow, a port authority, and to all qualified voters, freehold- ers, taxpayers, ratepayers and other interested per- sons in Morrow County, Oregon: NOTICE AND SUM- MONS is given that a Pe- tition for Judicial Valida- tion has been filed in the above-titled court by the Board of Port Commis- sioners (“Board) of the Port of Morrow (“Port”). The Petition seeks a judi- cial examination and judg- ment of the court pursuant to ORS 33.710 and 33.720 validating the legality of a resolution adopted by the Board, as the govern- ing body of the Port, and proposed Board and Port action, relating to the is- suance of certain revenue bonds and the reallocation of a private activity vol- ume cap. The Port is authorized by law to issue revenue bonds. The proceeds from the sale of revenue bonds may be loaned to private entities. Previously, the Port planned to issue rev- enue bonds to finance a solid waste disposal facili- ty in Morrow County, Ore- gon. Meanwhile, Oregon’s Private Activity Bond Committee had allocated $10,000,000 of the state’s private activity volume cap in connection with the fi- nancing of the solid waste disposal facility. That allo- cation would have allowed the Port to issue up to $10,000,000 of tax-exempt revenue bonds for the proj- ect. However, the Port has learned that the allocated private activity volume cap will not be needed for the project. That allocation will expire if not used. The Port finds that it is in its in- terest to ensure that the al- location is used to finance a solid waste disposal fa- cility. On November 10, 2020, the Board adopted Resolution 2020-23. That resolution declared and ordered the Port’s intent to issue up to $65,000,000 in revenue bonds and to loan the proceeds to Red Rock Biofuels LLC to finance a solid waste disposal fa- cility in Lake County, Or- egon, and to reallocate its $10,000,000 in unused pri- vate activity volume cap allocation to the bonds that will be issued and loaned to the company. The Petition for Judicial validation asks the court to issue a declaration on the legality of Resolution 2020-23, the Port’s author- ity to enter into an agree- ment with Red Rock Bio- fuels LLC providing for the loan of the proceeds of revenue bonds to the com- pany, the Port’s authority to issue revenue bonds and loan the proceeds to Red Rock Biofuels LLC for the construction of the solid waste facility in Lake County, Oregon, and the Port’s authority to reallo- cate its $10,000,000 in un- used private activity vol- ume cap allocation to the bonds that will be issued and loaned to Red Rock Biofuels LLC for that fa- cility. Notice is further given that this Notice and Summons will be published once per week for three succes- sive weeks in the Heppner Gazette-Times, a news- paper of general circula- tion published in Morrow County. Jurisdiction shall be complete upon the Port of Morrow, and all qual- ified voters, freeholders, taxpayers, ratepayers, and other interested persons, within ten (10) days after [last publication date], the date of last publication of this Notice and Summons. NOTICE TO INTEREST- ED PERSONS: READ THESE PAPERS CARE- FULLY! At any time before the expiration of the ten (10 days) after the date of completing publication, any interested person may appear and contest the Pe- tition, and any of the acts or things enumerated in the Petition. To appear you must file a written “mo- tion” or “answer” with the court clerk or administra- tor, along with the required filing fee. The “motion” or “answer” must be in the proper form and have proof of service on the pe- titioner’s attorney. If you have any questions, you should see an attorney immediately. If you need help in finding an attorney, you may contact the Or- egon State Bar’s Lawyer Referral Service online at www.oregonstatebar.org or by calling (503) 684- 3763 (in the Portland met- ropolitan area) or toll free elsewhere in Oregon at (800) 452-7636.
