The primary object of such a formidable legal Instrument is, of course, to define clearly and exactly what the mortga gor will do. Some of these possibilities that are sought to be guarded against appear to be absurd to the lay mind. Some years ago a boat line whose vessels plied on a certain river desir ed to mortgage Its property and Issue bonds. One of tbe provisions of tbe legal instrument provided what should be done In the event of tbe river dry ing up or becoming Impossible to navi gate. As tbe stream was a mighty flood of water at all seasons, the pos sibility of this contingency arising seemed out of all reason, but the attor neys for the mortgagee Insisted upon Its Insertion. After tbe mortgagor's counsel have completed drawing up the Instrument as they think It should be It passes to the attorneys on the other side, who pick as many flaws as possible In It They, too, pay special attention to toe exact meaning of words, and frequent ly their experts question tbe defini tions of those on the other side. After tbe two firms of attorneys have settled all their differences tbe mortgage Is generally submitted to another set of expert legal advisers, wbo criticise it from every possible point of view. All this takes a great deal of time and costs a great deal of money. The total legal expense of drawing up a big corporation mortgage fre quently runs Into more than a hundred thousand dollars. It Is not uncommon for a single firm of experts to receive as high as $50,000 for criticising and correcting one of those important legal documents. When It has been tested In every possible way and Is finally passed upon and approved It is print ed. It may cover between 100 and 200 pages and contain from 40.000 to 80,000 words. After reading the papers in tbe suit, Mayor McDonald, Recorder Langllle and several members of the council were asked if they had any statement to ruuke in regard to the allegations. With the exception of the mayor, they said they had no statement to make at this time, other than that tbe suit was a tech nlcal one. Mayor McDonald stated that he objected to the charge that any secret contract existed letweeu himself and Keeler liros, ns to the sale of the bonds, and that nothing of that nature existed without the authority of the council. City Atorney Derby stated that the matter was purely one of techni cal litigation that apparently would have to le threshed out In court, and that the complaint, with Its voluminous verbiage omitted, sim mered Itself down to a purely legal contention. The attorneys for the complainant claim that if the Injunction stands It will save the city In the neighbor hood of 130,000. This Is based on the extra one per cent interest dur ing the life of the bonds, whleh would aggregate $1H,0K), In addition to other exendltures and costs that it lsfald would bring the sum to the amount mentioned. The suit was precipitated by the fact that one of the Keeler Bros, came here Saturday to deliver the bonds to the city, under a contract which he said existed between him self and Mayor McDonald for their private sale.
