the president to voting for certain
changes in the by-laws, and for the
re-election of three trustees whose
terms were expiring, thus insuring
the perpetuation of Mr. Lally and
his associates in office. Mr. Cadigan
acted properly, the court ruled, in
voting the proxies according to his
best judgment. j
