Oregon. The purpose of the meeting is to open the polls for voting upon an amendment to the Bylaws propcsedoy the Directors to provide compensation for Director’s services. The text of the Amendment is set forth below. As defined in Bylaw Section 1, Article I, every registered student, faculty member, and full-time classified staff of the University on the Eugene Campus are Members and are entitled to vote. Ballots will be available at the Book Store. The polls will be open on Thursday, October 18, from 9:00 A M to 5:00 P.M., and on Friday, October 19. from 8:15 A.M. to 5:00 P.M. Members may vote at any time during these two days. PROPOSED AMENDMENTS TO THE BYLAWS OF THE UNIVERSITY OF OREGON ARTICLE III—BOARD OF DIRECTORS Section 8 Compensation and Expenses: The Directors may, upon affirmative annual vote of two-thirds of the total members of the Board, receive compensation for services rendered the corporation in performance of official Board or corporate duties. However, no Director shall hold any full-time position in the corporation on regular salary. 8.1 Compensation: Director’s compensation shall be reps: ted and paid on an hourly basis. The hourly rate of pay shall be fixed by the Board of Directors, but shall not exceed the minimum wage paid by the corporation to its full-time employees in effect at the time the compensation is paid. 8.2 Compensable Services: Directors may receive compensation for time spent in attending meetings of the Board, attending meetings of committees appointed by the Board, in performing duties or special assignments specifically authorized by the Board, and in performance of official duties as officers of the corporation. 8.3 Reimbursement for Expenses: The corporation shall reimburse any Director for expenses properly incurred by him in the performance of his duties as a Director. 8.4 Employment: The Manager is authorized to employ a Director to work during emergency rush periods and receive regular employee compensation for such temporary work. 8.5 Rules and Regulations: The Board of Directors may prescribe such additional rules and regulations relating to Director Compensation and reimbursement for expenses as they deem appropriate, not inconsistent with the provisions of this Section 8. PROPOSED REGULATIONS FOR BOARD OF DIRECTOR COMPENSATION 1. Director compensation and reimbursement for expenses shall be paid on a monthly basis. To be eligible for payment, each Director shall submit a detailed monthly statement, on a form developed for that purpose, not later than the last day of each month, showing on a daily basis the total hours worked, the hours during which the service was performed, the nature of the service, any expenses incurred and the exact nature thereof. Such claims shall be paid not later than the 15th day of the following month. 2. Director compensation claims and expenses shall be submitted to the Board of Directors Review Committee. This committee shall be responsible for monthly review and approval of all claims for Director compensation and expenses. All statements approved by the committee shall be paid forthwith. All claims not approved by the committee shall be submitted to, and reviewed by, the Board of Directors at its next scheduled meeting. However, the Board shall also have the power to review all claims. The Board shall have the authority to reduce any claim and to approve any claim for payment in its full or reduced amount. The decision of the Board to reduce any claim shall be final. 3. The Review Committee shall consist of three (3) members of the Board who shall serve without pay. Committee members shall be elected to membership by the Board at the organizational meeting of each new Board of Directors each year, or thereafter at the pleasure of the Board, to serve for a term of one (1) year. All such committee members may be removed and replaced by the Board at any time with or without cause. It’s a big day for Pablo Zachai as the first child to “graduate” from the l of O day care center. Day Care \graduate ' a shy five year old When five-and-a-half-year-old Pablo Zachai entered the first grade this fall, he became the first “graduate” of the ASUO Child Care Center. Dark-haired Pablo, son of Michael and Eshkie Zachai, began attending the Child Care and Development Center back when it was organized, when he was two and a half. Though he hasn’t been part of all the various age groups—they start with 6-month old babies— Pablo is the first child to stay with the Center from its origin to his “graduation” into a public school. The Child Care Center, located at 1511 Moss St., is open to children of eligible University students all day five days a week. Parents not on welfare are asked to pay $3.50 a day ($1.75 a half day) per child, and all are asked to work with the Center in some way. “Usually (the parents work) in the classrooms,” Eshkie Zachai commented. Pablo’s opinion of his years at the Center was ashy “Good.” He later added, with his usual serious looking dark eyes, that he liked going to the river best. “I found some really neat stuff there.” The children keep busy, ac cording to his mother, who works with the 14-to 2-year-olds at the Center, especially the older ones, who “really truck around a lot.” They begin taking field trips in her group, Zachai said, and as they get older, “walk around the whole town.” The trips take in places like the swimming pool and the Univer sity's Art Museum. The highlight of this past summer for the Center’s children, according to Pablo and his mother, was a trip to the Lane County Fair. The children learn just from being away from home and playing with other children, she said, but the Center also helps them with language skills, numbers and science. The em phasis is giving these children both the chance to learn and the chance to develop independence, she said Pablo learned both numbers and the alphabet at the Child Care Center, she added. “I know big ones and little o.ies,” Pablo explained speaking of his letters. The social life at the Center has also helped Pablo, she said. She described him as “withdrawn, untalkative” when he first started attending, but said that now he is “well adjusted.
