Pierce Freight Lines professional drivers, Medford. were among more than 30 Oregon truck drivers who have been honored with 'Good Joe" awards for out standing acts of highway safe ty and courtesy, the Oregon Trucking association has an nounced. The awards are made on the basis of reports received by OTA from grateful motor ists who have been given emergency highway assist ance by the truck drivers. Services performed ranged from changing flat tires to rendering first aid at the scene of an accident. The "Good Joe" recognition program has been carried on by the OTA for the past sev eral years. It originated in Oregon and since has been adopted by associations in other states and Canada. December 8. 1960. at its Head Office. 1 109 Court Street. Medford. Oregon, subject to adjournment, to con sider and act upon the following: Proposed plan of merger be tween said bank and The Oregon Bank, Portland. Oregon: Authorizing the directors and officers of said bank to implement such merger: Such further action in connec tion with such merger and amend-, ments as may properly come be-! fore the meeting. O.R.S. 711.045 sets forth the ex clusive rights and remedies of dis senting stockholders, to wit: (1) A dissenting stockholder of a state bank shall be entitled to receive the value in cash of only those shares whih were voted against a merger to result in a state bank. If and when the mer ger becomes effective, upon writ ten demand made to the resulting state bank at any time within 30 days after the effective date of th merger accompanied oy the surrender of the stock certifi cates (2) The value of auch shares shall be determined, as of the date of the stockholders' meeting ap proving the merger, by the mer ger agreement or by '.hree apprais ers, at the option of the dissenting stockholder. (3) If the value fixed by the merger agreement is not accepted, appraisers shall be selected as fol lows: One to be selected by the vote of the owners of two-thirds of the shares involved at a meeting called by the Superintendent of Banks on 10 days' notice, one by the Board of Directors of the re sulting state bank and the third, by the two so chosen. The valua tion agreed upon by any two ap praises shall govern. If any neces sary appraiser fs not appointed within 60 days after the effective date of the merger or if the ap praisal Is not completed within 90 days after the merger becomes effective- the Superintendent of Banks shall cause an appraisal to be made. The expenses of apprai sal shall be paid by the resulting state bank.
