NEW BUSINESS TRIBAL GOVERNMENT, MANAGEMENT &BUDGET COMMITTEE B Portland Harbor Superfund Site Trustee Council. Jan D. Reibach moved, Ed Larsen seconded to adopt Resolution No. 024-03 designating Stephen Kelly as the Tribe's representative for the Portland Harbor Superfund site trustee council filling the vacancy left by Kathleen Feehan. Motion carried 7-0-0. B Economic Development Fund Allocation to Convenience Store Project. Bob Haller moved, Valorie Sheker-Robertson seconded to adopt Resolution No. 025-03 authorizing the allocation of up to $3.2 million from the Tribe's Economic Development Fund for the purpose of financ ing the development and construction of the convenience store and gas station project in the Grand Ronde Community. Motion carried 7-0-0. B Charter Grand Ronde Food and Fuel Company and Appoint ment of Initial Directors. Ed Pearsall moved, Val Grout seconded to adopt Resolution No. 026-03: (1) approving the Articles of Incorporation for Grand Ronde Food and Fuel Company, (2) chartering Grand Ronde Food and Fuel Company, as a corpora tion existing under the laws of the Tribe, governed by the Govern mental Corporations Ordinances and the Articles of Incorporation attached to this resolution, and (3) appointing Cheryle Kennedy, Reyn Leno, June Sell-Sherer, Ed Larsen, Bob Haller, Jan D. Reibach, Val Grout, and Valorie Sheker Robertson as the initial organizing Board of Directors. Motion car ried 7-0-0. B Tribal Council Ordinance Amendment. June Sell-Sherer moved, Val Grout seconded to adopt Resolution No. 027-03 amending section (h)(4) of the Tribal Council Ordinance by inserting the words "Notwith standing the above" at the beginning of that section and by inserting a new subsection (h)(4)(C) which provides that the Tribal Council may not indemnify a Tribal Council member "if the council member has been ex pressly excluded from coverage under any Tribal insurance policy which would otherwise cover costs and expenses incurred defending the claim or proceeding." Discussion followed. Motion carried 6-0-1. Ed Pearsall abstained. B Governmental Corporations Ordinance Amendment. Valorie Sheker-Robertson moved, Ed Larsen seconded to adopt Resolution No. 028-03 amending section (s)(2)(D) of the Governmental Corporations Or dinance by adding the words "Notwithstanding the above" to the begin ning of that section and by inserting a new subsection (s)(2)(D)(3) which provides that a corporation may not indemnify a director "if the director has been expressly excluded from coverage under any corporate or Tribal insurance policy which would otherwise cover costs and expenses incurred defending the claim or proceeding. Motion carried 6-0-1. Ed Pearsall abstained. B Spirit Mountain Community Fund Articles of Incorporation. Valorie Sheker-Robertson moved, June Sell-Sherer seconded to adopt Resolution No. 029-03: 1) amending the Corporation's powers under Article VIII of the Ar ticles of Incorporation for the Spirit Mountain Community by insert ing the following new language: "(H) To provide for indemnification of Trustees and officers of the Corporation in accordance with the Corporation's Bylaws provided, however, that the corporation may not indemnify any Trustee or officer of the Corporation who has been excluded from coverage under applicable Corporate or Tribal insurance polices." and 2) directing the Fund to modify its Bylaws consistent with this amendment. Motion carried 6-0-1. Ed Pearsall abstained. B Affiliated Tribes of Northwest Indians Winter Conference Co Sponsorship. Val Grout moved, Ed Larsen seconded to adopt Resolu tion No. 030-03 approving a donation in the amount of $5,000 towards the co-sponsorship of the Fundraising Banquet Dinner & Silent Auction at ATNI on Monday, February 10, 2003. The funds are to be transferred from the CY2003 Contingency Budget. Motion carried 7-0-0. B Budget Transfer Approval. Valorie Sheker-Robertson moved, Val Grout seconded to adopt Resolution No. 031-03 authorizing the transfer of $10,000 from the Contingency Fund to the General Manager's budget for use in payment of a portion of the settlement agreement in the out standing litigation of Mackey v. Tom, et al in which the Secretary of Inte rior, Bureau of Indian Affairs is paying $20,000 of the settlement amount. Discussion followed. Motion carried 7-0-0. LEGISLATIVE COMMITTEE B Governor's 2003 Inaugural Celebration Sponsorship. Ed Pearsall moved, Ed Larsen seconded to adopt Resolution No. 032-03 approving and ratifying the transfer from the Tribal Council Contingency CY2003 Budget to the Intergovernmental Affairs CY2003 Budget for sponsorship at the Governor's 2003 Inaugural Celebration. Discussion followed. Mo tion carried 7-0-0. ECONOMIC DEVELOPMENT COMMITTEE B Amendment to Tribe's Agreement with Oregon Dept. of Human Services. Ed Pearsall moved, Val Grout seconded to adopt Resolution No. 033-03: (1) approving an amendment to the Tribe's agreement with the Or egon Department of Human Services for alcohol and drug treat ment that reduces the amount of funding from $615,857 to $389,018.65; and (2) authorizing the Tribal Council Chairwoman to execute said agree ment. Motion carried 7-0-0. B Cultural Interest Lands. June Sell-Sherer moved, Valorie Sheker Robertson seconded to adopt Resolution No.034-03 declaring what lands the Tribe has a cultural interest. Such Cultural Interest Lands, which are further described in the attached resolution, are either those lands ceded by treaty by antecedent Tribes and bands of the Confederated Tribes of Grand Ronde, or lands outside the ceded lands that were historically inhabited by antecedent Tribes and bands of the Confederated Tribes of Grand Ronde. Discussion followed. Motion carried 7-0-0. OTHER BUSINESS B Chairwoman Kennedy announced the procedure for presenting infor mation at this meeting. Conduct is to be in a manner which reflects the dignity of the Tribal Council and the Tribe to whom you are addressing. The five minutes per topic is to be abided by or the Tribal Council will motion to adjourn the meeting. B A Tribal member asked council to consider publishing a message in the Tribal newspaper, Smoke Signals, advising the membership that infor mation contained within a document sent to Tribal members by a Tribal member is based upon the opinions of the individual who drafted the communication. Discussion followed. Chairwoman Kennedy stated the council would take it under advisement and report back to the member ship at the next Tribal Council meeting. B A Tribal member brought issues forward regarding alleged comments by a Tribal Council member regarding the Tribal member and lawsuits brought forward by Tribal Council member Ed Pearsall. 4:50 p.m. Valorie Sheker-Robertson moved, Val Grout seconded to adjourn the meeting.
