Resolution of Tribal Council
Whereas the C onfeder­
ated Tribes o f Warm Springs
Reservation o f Oregon is a
federally recognize In d ia n
tribe; and
Whereas W arm Springs
Forest Products Industries is
a wholly owned business en­
terprise of the tribe, formed
in 1966 pursuant to tribal ref­
erendum under section 12 of
the tribe’s corporate charter;
and
Whereas by R esolution
11,289, Tribal Council estab­
lished the Business Invest­
ment Revolving Fund (BIRF)
Committee whose purpose is
to utilize Tribal Council ap­
propriations and other avail­
able funds to assist with the
development o f business op­
portunities by tribal business
e n te rp rise s on th e W arm
Springs Reservation; and
Whereas, sawmill opera­
tional w orking capital and
capital investment is needed
and critical for the tribe to
continue sawmill operations
and be competitive in the lo­
cal, regional, national and glo­
bal economy and are there­
fore critical for the current
and future w elfare o f the
tribe; and
Whereas a tribal invest­
m ent is necessary to enable
WSFPI to continue to expe­
ditiously implement planned
sawmill operations; and
Whereas the BIRF com­
mittee has met and reviewed
th e sta tu s o f th e W S F PI
project, an up to. date WSFPI
business plan and financials,
and a request from WSFPI
for funding in the amount o f
$500,000 as a loan agreement;
and
Whereas the BIRF com­
mittee believes that the addi­
tional $500,000 contribution
in WSFPI is consistent with
the BIRF operating principles
and recom m ends th a t the
Tribal Council grant WSFPI’s
funding request out o f BIRF
funds; now therefore
Be it reso lved by th e
Twenty-Sixth Tribal Council
o f the Confederated Tribes
o f the Warm Springs Reser­
vation o f Oregon, pursuant
to Article V, Section 1(f), (1)
and (t) o f the Tribal Consti­
tution and By-Laws, that the
Tribal Council hereby loans,
directs and authorizes the
Tribal C ouncil chair, Vice
Chair, an d /o r Secretary Trea­
su rer/C E O to develop and
execute a loan agreement for
an Investm ent in a manner
co n siste n t w ith th e BIR F
c o m m itte e re c o m m e n d a ­
tions, and further directs that
any interest and earnings on
such funding shall be rein­
vested in the BIRF fund; and
Be it further resolved
that the Tribal Council hereby
authorizes the Secretary-Trea­
surer/ CEO to provide fund­
ing to WSFPI from the BIRF
fund in the total amount o f
$500,000 in a m anner con­
sistent w ith the term s and
conditions recommended by
the BIRF committee and to
execute any funding docu­
m ents co n sisten t w ith the
sanie, and directs th at any
interest and earnings on such
funding shall be reinvested in
the BIRF fund; and
Be it further resolved
that the Tribal Council hereby
ratifies any and all actions
taken by the Tribal Council
Chair, Vice Chair and Secre­
tary-Treasurer/ CEO that are
consistent with the approvals
and au th o rizatio n s in . the
above resolutions.
