The corpora tlon department turned $286,116.30 into the general fund during the year end lng June 80 last, according to the first annual report of Commissioner 'Watson, wblclff has just been printed. During; the period ending June 30, the department drove from the market a total of $59, 54,10 worth of worthless, doubtful or unproven securities, the report says. V Watson exDrease ratification over the cooperation of legitlmatebutiiness of Oregon with the department in its efforts to curb dishonest aien and dis honest practices. Many f those who at first opposed the lawt are now its tauncti rrienas, tie says. "No ode who knows half the truth will be heard to say that the depart- ntent nas not jusuriea ,useJi, or that the law has not proven itself in its first year, Just closed, declares the - commissioner. "If every man And woman who ca',y an' honest heart could see the men and women, the ignorant, the unsuspectrng and the unsophisticated who go to Comprise the army of the defrauded . in this state, or could hear the stories of deception that have come into1 this department Since Its Inception, there would not be a sound of protest against the Blue gky law, whether it be constitutional or unconstitutional, burdensome or otherwise." Watson says he is convinced that the blue sky law should be amended, atserting that it is ambigious and cum bersome, lie would have the law pro vide a standard for fraud and suggests 'the following as the fundamentals of a simple, effective and model blue ' sky law: "First The plain requirement that : all men in the promotion, incorporation and financing of corporations or other 1 Companies, should deal openly, fairly, honestly, without concealment, reser vation or deceit with the investing public. . "Second. The promise, equally plain and unequivocal, that he who offended against the requirement, or evaded it, would suffer the penalties that the law set up." Watson believes that the addition f the prospectus feature of the Eng lish Companies Act, linked with the fraud section of the federal law, would work wonders in curbing unscrupulous promoters. "With these two fundamental ideas -er a grounaworK, ana a very lew amendments to the general statutes, as they now exist, and the Oregon ' corporation laLW D0 a model, for ther. states to copy, so far as the pro tection of investors is concerned," says Watson. . lie declares that "promotion stock" has been the curse of Oregon, from the viewpoint of corporate abuses. Capitalisation should be controlled, he Insists, .to the end that it will be no longer' possible to capitalize a hope for a million dollars. Highway is now ready .
