ODE board erred, ASUO essay says By Richard Burr Ol the Emerald Extending the terms of two ASUO representatives on the Oregon Daily Emerald board of directors was illegal, accord ing to an ASUO legal essay The Emerald board approved extending the one-year terms to two years last March The extension was illegal because the board of directors of a corporation cannot change its own bylaws, according to the essay The Emerald is a non-profit corporation The ASUO president, as a representative of the student body, appoints the two board members annually to represent that year s student body, the statement reads The board's action deprives "the electorate of some specific academic year of their power to make appointments," it adds The extension was necessary for the board to make consistent decisions, says Emerald Editor Harry Esteve The board deals with complex business problems and the high turnover rate of board members affects its decision-making, he says "We think the benefit of having consistency on the board outweighs the considerations of the ASUO president being able to appoint two members each year," Esteve says "We amended the bylaws in what we thought was a legal fashion " he adds ASUO Pres C.J. Balfe says he ordered the legal essay because of conflicting information he received from the Emerald staff about the term extensions John Moore, director of the Offices of Student Advocacy and Executive Coordinator, wrote the document and says Chuck Spinner, Legal Services director, assisted him But Moore refused to comment further on the ODE board's action or the ASUO's legal essay Balfe says he has asked Esteve to decide whether the one-year terms should be reinstated If the answer is no, he will have to "bend some more ears and get something done," he says "I've asked Harry to formulate an opinion, but I'm not going to wait forever," Balfe says He would not elaborate on what action might be taken, but he says he has several options Board members are being consulted, but the preliminary opinion is that the action was appropriate, Esteve says Balfe's action is puzzling considering he appointed one of the members in question, Ann Portal, Esteve adds Portal was ASUO vice president of state and academic affairs before resigning in September The action has nothing to do with Portal or Jim Edmund son, the other representative, Balfe says It's just a question of legality and their right to do it," he says But Portal says the essay attacks her and represents the ASUO's attitude toward the Emerald "This is the kind of thing that makes me embarrassed to be an ASUO representative," she says The essay also is a "gross misuse of student funds," Portal adds The bylaw changes were checked by the Emer ald attorney last year when the Emerald board changed a section of the bylaws, she says We ll certainly look at it again," Portal says. Students Opposing Registra tion and the Draft held its second organizational meeting Tuesday night to define goals and set meeting dates and rules The 17 students who attend ed the meeting approved a res olution stating that SORD op poses any organization that supports "the production of arms, the elimination of human rights or the draft registration " They also adopted nine goals defined by Coalition Against Registration and the Draft, a nationwide citizen's group, but delayed vote on the issue of affiliation with CARD or with CARD'S local chapter.
