BONDS TO BE GUARANTEED Tonrt Holds for Western Cooperage Company in Fight Against Bond I.ne of $600,000 to Back Vp a Big Deal. Suit of the 'California Barrel Com pany against the Western Cooperage Company to restrain the latter corpora tion from guaranteeing a proposed bond Issue of JtiOO.OoO oy the Eastman Lumber Company, was decided In favor of the defendant company by Judges Gantenbein. Uatens and Morrow in a decision rendered In tiie State Circuit Court yesterday. While only the lsjue of bonds was Involved in the litigation which waa decided yesterday, the In side facts pertaining to the suit reveal a determined fight for the control of the cooperage business on the Pacifia Coast. Vitally Interested In the court's de cision yesterday were three large cooperage corporations the California Barrel Company and the Woerner Coop erage Company, both' of San Francisco, and the Western Cooperage Company of this city. The two San Francisco companies are engaged principally in the work of assembling materials and the manufacture of staves and other products for the cooperage trade, for which there Is -a. big demand in Cali fornia by reason of Its big wine Indus try. Until recently oak and. other hardwood lumber were obtained from the East for the manufacture of these products, although Oregon spruce Is gradually replacing those woods now. The Western Cooperage Company, with headquarters In this city, was or ganized originally In Los Angeles by Watson Eastman. It was not long un til Eastman, realizing the Importance of the industry and recognizing that eventually timber on the Pacific Coast Would be utilized In the cooperage busi ness, went to Aberdeen. Wash., where he located. Building a small plant, he began the manufacture of staves. He prospered, and when his business reached such proportions that the Aber deen plant could not handle the trade, he erected another plant at Houlton, Or where he continued the manufac ture of staves and other materials which were used by hta factory at Loa Angeles and Seattle in the manufac ture of barrels. Finally the California Barrel Com pany and the Woerner Cooperage Com pany bought Into the Western Cooper age Company nntll the stock in the lat ter corporation waa owned equally by the three companies In shares of one third each. About this time Frederick J. Koester. of the California Barrel Company, and Eastman, of the Western Cooperage Company, aspired to control of the cooperage business on the Pa cific Coast. Occordlngly they decided to Invest In a large acreage of Oregon snruce and undertake to convert the California wine trade to the use of Oregon spruce as a practical substitute for Eastern oak. With this object In view, they In terested the California Barrel Company, and the three companies Jointly pur chased a tract of 16.000 acres of land, heavily timbered with spruce. In Cliitsop County, from the Charles A. Street Lum ber Company of Chicago. For this prop erty a consideration of 11.000.000 was agreed upon as the purchase price. The three companies Joined In the organiza tion of the Eastman Timber company as a holding company for the timber land. With funds advanced by the three com panies, JSOO.OOOt or one-half of the pur chase price was paid and the sale closed. eieoat Was Proposed. During the last year. Koester. repre senting the California Barrel Company, sought to Induce Woerner, of the Woerner Cooperage Company, to Join him and through a consolidation of their holding, secure control of the cooper age business, leaving Eastman and his assoelates of the Western Cooperage Company, out in the cold. Woerner, however, was not won over by Koester but. Instead, went over to Eastman. Woerner and Eastman then evolved a plan for Issuing bonds to the amount of for the purpose of refunding the indebtednese of the Eastman Timber Company. This issiif of bonds was au thorized at a meeting of the tock lioldrst of the interested companies but before the bonding firm would advance the money, it was demanded that the Western Cooperage Company guarantee tb bonds. It was at this stage In the proceedings that Koester. through the California Bar rel Company, Instituted suit to restrain the Western Cooperage Company from furnishing the-desired security. It was alleged by the plaintiff company that the Weeiern Cooperage Company could not so proceed for the reason that, under Its articles of Incorporation, it did not have h .. .h .;.ii... .... . v s v : the corporate power to guarantee the bonds of another corporation. On this point, the court held that since the own ership and de-elopment of the timber land directly concerned the cooperage In dustry In which the Western Cooperage Company was engaged, the company had the right to provide the surety If It so desired. The court further held that the charges of fraud alleged to have been practiced in voting the bond issue were improperly founded. Because of the Importance of the suit and the fact that the bonds voted for are to be Issued on August 1. the case was heard before the three Circuit Court Judges during the vacation period. The plaintiff corporation was represented by W. W. Cotton. James Q. Wilson and OamDbell. Metson & Drew, of San Fran cisco. The defendants were represented lv Dan J. Malarkey, Chamberlain, Thomas & Kraemer and Carey & Kerr. RUN TO SEATTLE PLANNED Day Rot Apart at Exposition for Portland Automobile CInb. Tuesday, August 17 has "been set aside as tlie Portland Automobile ' Club day, at tlie Alaska-Yukon-Paclflc Exposition. Plans for a demonstration and reception for th local club upon their arrival at the Exposition city are under way by th Seattle Automobile Club. Through the energetic efforts of the officers of the local organization the man agement of the Alaska-Yukon-Paclfla Ex position commented to designate a day. President E. -Henry emaie, of the Port land Automobile Club, has proceeded to plan all the details of the run to Seattle. A route has been laid out which em braces the various towns between here and the Sound. Stops will be made by the autoists In these burgs just long enough to disturb the peace and quiet of the community. Special provisions have also been made to carry the lighter cars across the river on two large barges to Kelso where the automobiles will assemble and the cara van will proceed to Seattle on Monday, August 16. The roads from here to Se attle are reported to be in excellent con dition. It Is expected that at least 100 machines will be entered in the run. The club officers' extend an Invitation to all owners of machines In Portland to Join the ex. cursion. Upon the arrival of the rub ber-tired caravan at Seattle It la the intention to parade through the streets for a short time and then run through to tlie Exposition grounds. AUTO CLUB MEMBERS GIVE Subscription Being Taken for Fam ily of Boy Killed by Car. Because of the death of 4-year-old Julius Kozeen. who was struck by an automobile and killed within a strone's throw of his home, at Xo. 5 Hlbbard street, Montavilla, last Sunday after noon, the ofricers of the Portland Auto mobile Club are circulating a subscrip tion for the benefit of the little victim's family. "While making a rigid Investiga tion Into the exact manner in which the little fellow met his death when struck by the powerful machine, driven by Wil liam Eastman, a chauffeur for R. Becker, a member of the club, the appointed com mittee round tlie family to be in strai tened circumstances and dire need. Sec retary Will Llpman has the collection of the fund in charge. He hopes to be able to raise at least $500 among the members or trie cluo. Despite the fact that Eastman. th death-dealing chauffeur was arrested im mediately following the accident and sub sequently exonerated by a Coroner's jury, tne club is taking tlie necessary steps to have his license revoked. While no specifics reason is given for their acuon, yet :t Is Intimated that the ex ample will serve as a warning to other chauffeurs. who participate In less serious occurrences through sheer reck lessness. Numerous complaints to the police to the effect that automobiles were mak ing upper Washington street danger ous In the evenings by reckless and speedy driving, caused the detail of two officers In plain clothes to this dis trict last night as spotters. Patrol men Marsh and Montgomery, who were selected as the look-outs, nabbed three fast drivers at King and Washington streets, took them into custody to the City Jail, where they were required to put up cash bail of $25 each for their appearance in the Municipal Court tomorrow morning to answer to the charge. MOUNT BAKER THEIR GOAL Will Proceed From Portland to Bellingham, Wash., and Thence to Mountain and Then Pro ceed With Ascent. The Mazamas are completing prepa rations for their annual outing, which will be held this year at Mount Baker. The laat several days of warm weather have given stimulus to their zest for mountaineering, and both billy-goats and nanny-goats are looking forward in eager anticipation to life in camp on heathery slopes and amid the cool of the glaciers. The party will leave Portland over the Northern Pacific the night of Mon day, August 2. The afternoon of Tues day will be spent In Bellingham. where entertainment will be provided by the Board of Trade of that city, and where numerous additions will be made to the party. Automobiles will be furnished by Bellingham citizens, and. on the morning of Wednesday the whole party will be speeded via Demlng to the end of the wagon road, where the hike over the trail will begin, a distance of some 15 miles, to permanent camp. Beturn will be made about August 16. Three years ago the Mazamas camped on th9 rortheast slope of Baker, and found the ascent of the mountain on that side exceedingly difficult, al though the srenery was grand beyond description. The site selected for the camp this year is on the southwesterly slope of the mountain, at an altitude of about 5000 feet, and will enable an ascent to be made with comparative ease.
