THE LABOR EXCHANGE A 'Faw tf Hi a Objects of the Organization TO DO BUSINESS WITHOUT MONEY By-Laws of Oregon City Branch No. 185 of Labor Exchange I. This organization fliall lie known as Labor Kxt:lianKu ISruncli No. 185 of Ore (ton C'ily, county of Clackamas, statu of Oregon. n. Tim names of tlio charter members are respectively: A. J. Kellogg, P. S. Flitcroft, W. N. Godfrey, A. AV. Cheney, A. Luulling, W. W. Myers, (J. It. II. Millur, Geo. E. HargreavuH, K. 0. Hamilton anil James A. Kays. III. The officers of this brnneh Bliall con sist of president, vice-president, secre tary, accountant, three directors, and an auditing comniittu'j of three. IV. Tho officers shall he elected by the members of this branch by ballot and shall serve one year, being elected an nually at tliu first meeting of the branch in December of each year, and shall qualify at tho first meeting in January of each year, and shall serve until their successors have qualified and entered upon their duties. V. Tho president shall preside at nil meet ings of tho branch, and the vice-president shall preside in his absence. VI. The secretary shall keep the minutes of all the meetings of the branch, corre spond and answer all correspondence with the National headquarters, and all other official correspondence of this branch J and shall transmit to his suc cessor the books and papers pertaining to his olfice. VII. The accountant shall have charge of the bocks, checks, receipts, etc., of this branch and shall keep accurate accounts of all the business that may bo trans acted by this branch in whatsoever kind of business this branch may hereafter be engaged in, between the various mem bers, keeping an accurate account of all deposits, credits of whatsoever kind that shall bo done with this branch or with other branches, firms, or persons. The accountant shall countersign the cer tificates of deposit and sign all the bal ance checks issued and shall pass to his successor all tho books, papers, and property of tho branch in his hands. r viii. It shall lie the duty of the directors to direct business affairs of this branch, and shall have full control of all tho interests and business of the branch in trust for the organization. This board shall have power to employ a manager to manago and act as .foreman in tho business of whatever kind the branch may be engaged in, to fix his compensation, and to determine the amount of his bond and sureties. IX. The auditors shall hold no other office during their term of ollico, they shall have access at all times to the books and papers of this branch and shall pass upon tho accounts of this branch, and shall submit a report (in writing) of the condition of the business for the pre ceding quarter, at the last regular meet ing in each of tho following months: March, June, September and December of each year. X. This branch shall as soon as practi cable, engage in business of some kind 'in accord with its charter) to rent, lease oraequirearoom, mill or factory or grounds on which to transact business, us the directors of this branch may determine. XI. Any member may deposit with this branch, labor, money or marketable commodities. I'jkih these deposits a certificate shall be issued by the mana ger or accountant. The certific ites shall state the name of the depositor, the .' nature and value of tho deposit, ; must be signed by tho president :t:i 1 :ic couutant. These certificates (as upon the the back) are not reuecu.abU in legal tender, but receivablo by the Labor Exchange Association inpayment for merchandise, for services, and for all debts and dues to the same, and are se cured by the real and personal property in the keeping of the association at this branch of issue. XII. ; The proHrty held for the redemption of certificates of deisits in this branch cannot (as per charter) be mortgaged or pledged for debts, nor can it 1 with drawn, but it may le exchanged by the association for other property of equal v.ilue. XIII. It is explicitly stated here that the certificates or checks are not and cannot lie made a claim for legal tender pay ment. XIV. Upon indorsement by the holder the ertificate may to transferred to another mil so on through any number of bands. XV. When any certificate orpajvr or check letuineJ to this branch it is to to re deemed in the merchandise held by the exchange, and it then cancelled, going out of circulation. XVI. Any person of good moral character, not engaged in a business Injurious to the public,who has taken the La)or Ex change obligation and paid the initiation fee, is eligible to membership in this branch. The names of candidates shall bo referred to a committee of three ap pointed by tho chair, w ho shall report their recommendations upon the same at the next regular meeting of the branch. Candidates for membership shall be elected by secret ballot, and a two-thirds vote of all tho members present shall be necessary to an election. If rejected, notice shall be given all brandies in the county. XVII. Nothing in tho foregoing section shall be construed to interfere with the rights and privileges of members of the Na tional Association. XVIII. The initiative, referendum, and im perative mandate shall bo in force at all times in this branch. XIX. The imperative mandate shall be in force in case any officer, manager or any one holding a position of trust in this branch shall violate the principles of the Labor Exchange, or in any way become derelict in the duties of his office. XX. In case any of tho officers of this branch shall fail to discharge the duties of his office in an honorable or trust worthy manner, charges may be pre ferred against him in writing, by not less than three members, when ho shall be tried at a Bpecial meeting which may bo called by not less than nino petition ers, who are members ; and if the charges are sustained, the ollicer thus found guilty shall forfeit his position of trust. XXI. When this branch shall have acquired real estate or other valuable property, and a member wishing to withdraw from this branch shall file his intentim to withdraw, the directors shall make an appraisement of tho value of said prop erty and he, or she, as the case may bo, shall be paid in deposit checks to the amount, in proportion to his being a factor in the creation of said values. XXII. But no member shall bo granted any privilege as stated in tho foregoing sec tion, unless he shall give satisfactory evidence of bis or her intention to re move to some other locality. XXIII. It is explicitly stated here that no legal tender shall be used in the payment of rents, for leases of grounds, or property of any kind, or for freights or labor of any kind whatsoever when it can be made in Labor Exchange checks. XXIV. The length of eacli working day shall be eight (8) hours, of four hours in the forenoon and four in the afternoon, ex cept in the storeroom (if such a business is conducted by this branch) where the time shall be ten hours. XXV. Wages or price shall be in proportion to the value of the article or product pro duced by tho members in their various trades and avocations to bo governed by the directors whoso judgment shall de cide. XVI. The regular meetings of this branch shall bo held on each Saturday at 7 :30 p.m. XXVII. Seven members shall constitute a quorum for tho transaction of business. XXVIII. Special meetings may be called by the president upon tho written request of five members, due notice of such meet ing being given, not less than live days previous to said meeting. XXIX. Ill all questions of dispute that may arise between the branch and its officers, or members, or between individual mem bers the matter at issue shall lie deter mined by arbitration. XXX. The board of arbitration shall emsist of one member, chosen by each of the ptrties at issue to the case, and these two shall choose a third. XXXI. Before this Kiard all matters in dis pute shall lie laid, together with the evi dence, and the decision of the board shall be final. XXXII. Should the accused neglect or refuse to arbitrate on his part as provided in section thirty, for ten days after the service of notice to apixiint, the branch may take judgment by default. XXXIII. Tenuities in the above cases shall In fixed by the branch, as soon as the re port is laid Vfore it, and may extend to expulsion from mcmlcrship. XXXIV. These laws may be amended, added to. or stricken out by a majority vote of the monitors present of this branch. XXXV. Any alteration or amendment to the by-laws shall be proxsed by any mem ber, in writing, and shall to voted on at the next meeting. XXXVI. 1 Any money obtained by or through any entertainments of any kind, or from donations or gifts to this branch may be used to purchase or replenish stock or materials in the business of the branch. XXXVII. In case of the death of any ollicer or of his resignation or removal for cause, this exchange branch shall proceed at its next meeting to elect another officer in his stead, unless otherwise stated in by-laws.
