against J. H. Fletcher, Amos Btrong,
Goo. T. Cllne and tbo Independent
Publishing company.
Tho allegations us Bet forth aro about
as follews:
That the rndepondont Publishing
Co. Is a corporation with Itn principal
ofllco at Balem, and has n pald-np cap
ital stock of (8,038.50 represented by
shares of tho par vuluo of (100 each;
that plaintiffs aro stockholders and
bring this suit In tho Interests of them
selves and all other stock holders of
tbo corporation; that about April 28,
1803, at the first regular meeting of tho
stockholders, the board of directors
wero duty elected tewlt: Amos Strong,
Geo. T. Cllne, (two of the above named
defendants,) W. H. Holmes, D. A
Swank, and Charles Scott, nnd that
tbo directors elected Amos Strong
president and L. H. MoMuhon secre
tary of the corporation aud tho said
MoMahon acted as such secretary until
about December 10, 1803, at which date
ho resigned bis said olllco aud Geo.
T. Cllno was elected in his stead
uud has so served ever slnco; that on
or about December 1, 1803, J. H.
Flotcher wbb employed by tho direc
tors as tho business manager of tho
corporation, who entered on his duties
and assumed business control Immedi
ately, and continued to act lu that
capacity until Murch 31, 1801; that on
March 23, 180-1, Amos Strong us presi
dent of tho corporation aud Geo. T,
Cllne as secretary, notified the stock
holders of a nieotltig to bo held in
Salem on the 31st following, tho object
boiug to deviso a method of raising
monoy to pay oil' a "pretended" chattel
mortgage of (1,200 alleged to huve
been given bv tbo corporation to one

to dispose of the corporation for that
purpose;" that tho meeting convened
thoro being presont Amos Strong, Geo.
T. Cllne, J. H. Flotcher, W. H.
Holmes, D, E. Swank and W.
C. Hubbard, who represented In
person aud by proxies a total of 44 88
shares of tho capital stock; that on or
beforo tho dato of tho said meeting D.

nud transfer of the "pretended" chat
tie mortgago to himself and, at the
tlmo of the meeting, claimed to be tho
ownor, and at the meeting oflered a
resolution (which was adopted) to tbo
oilect that tho directors sell tho plant
of the compauy at private salo; that no
statomont of the financial condition of
the corporation wus mado at that tlmo
or at any tlmo whatever aud no uotlco
was ever given by tbo ofilccrs to the
plaintiffs and other stockholders of the
neoeflsity of suoh sale aud no such
right was ever given by plaintiffs, nor
did thoy assent or ratify tho same; that
on March 31st Strong, Cllno, Swank
and W. H, Holmes, without notice to
Charles Scott, who was not presont,
met In tho olllco of Holmes and made u
"pretended" sulo to tho defendant, J.
H. Fletchor, of all the property, book
accounts, nnd good will of tho said cor
poration and wrongfully delivered the
property to Flotcher; that there was no
lawful transfer aud delivery of said
corporation's property to Bald Fletcher,
but tho same was done by a secret aud
clandestine pre-arrangemont for the
purposo of defrauding tho plalntllls
and othor stockholders; that tho plain,
tills believe and allege tho fact to be
that the said "pretended" sale aud
trausfer to Fletchor was mado lit the
ntorost and bonetlt of himself aud
Strong nnd Cllne, who now claim to
own au equal Interest lu the corpora
tion's property aud thoy still have tho
possession thereof, tho printing mater
ial of which la valued at (2500, book
accounts, etc, (3,000; together
with tho Dully Independent,
tho Buml-Weekly Independent
aud the good will connected therewith
valuod at (3,000; that there was no In
debtedness of Bald corporation outstutid
iug or due expecting tho amount
claimed to be duo Swank, n director,
upon tho sum "pretended" chattel

liabilities; that about August 23, 1895,

corporation from defendants on no

(5,000; that the defendants are about to
collect the balauoe of the accounts due
tho corporation aud upproprlato tho
same to their own use. Wherefore,
tho plaintiffs pray for an order res
training and enjoying defendants from
disposing of tho property or collecting
any money or nccoiintH duo tho In
ilopoudent Publishing compauy on
March 31, 1801 us well as all earnings
and account due slnco eald day In
running and operating said cor
poration's property and that a decree
bo mado declaring said mile fraudulent
and requrlng defendants to account for
said property nud monoy collooted by
them since that date and for damages
against them tn the sum of (1,100 nnd

take charga and manage the property
and for costs and disbursements of thla
suit.
WHAT THK DKFKNDANTS SAY.
W. H. Holmes, ouo of the directors
was seen and said, un papers had yet
been served on himself and colleagues.
He considers the whole matter in tbo
light of a huge joke, and was not dis
posed to discuss It seriously. He said:
"Tho compauy does not deny having
received the money on the mortgage,
which was used t- pay debts Incurred
by tbo now coinplal,ja.H and which
debts he contracted htmsell lu his own
operations. It has committed no
crime against MoMahon except to pay
his debts and It Is not through with
that yet."
H. J. Bigger Is acting as nttornoy for
Mr. MoMahou in the suit, Tho plain
tills vlll probably retain Mr. Blug
ham. Mr. Flotcher was seen at hla olllco.
Ho treated tho wholo mntter very
philosophically. Ho said that ho had
no connection with tho ofllco when the
debts were controotod for which the
mortgago was given. But ho did know
that a mortgago was glyon, that it was
purchased by him from tho mortgagee
that ho bought tho establishment for
tho purpose of saving If possible what
ho had foolishly Invested in It at Mo
Million's request, and also for paying
othor debts Incurred by tho former
management, and If possible socurlug
something nut of tho wrook for the
stookholdorB. Neither Mr. Strong, Mr.
Clluo nor anyone else havo any Interest
In tho pupor ho being the sole owuer.
Ho had paid out the (1,210 rulsed by
mortgage, and has been paying tho
debts of tho old mauagomont over
siuco, aud Is not done paying them
yet. Thoro Is no such amount as (5,000

$2,000 and got tired. So wo turned it
overtorabo money to got out of debt.
The monoy was up to help MoMahon
run a paper and ho had the sole
coutrol until It was taken away from
him. Ho went through with nearly
110,000 m ten months. He turned lu
his plant to us at f 4,000 when he did
iiotowult at all It was tho property
of Matt Drown and others. In this
lawsuit he has everything to gain and
uothiug to lose because he put nothing
