A resolution to this etfeot was Introduced aud adopted. This catried all ot the subscriptions for Btcck under tbe former over to the latter and tbe origiual subscription was presented and adopted. ibe secretary then read the articles of iucorpoiation an tiled with the sec retary of state and tbe clerk of Wasco couuty. ibe president stated that some of tbe articles might seem to cover more ground than neoessary but tbat it abb easier to embody tbeni now tliau to have the charter amended in after yeais and tbat tbe time, might come when tbe company would be justified in taking up some of the enterprises that appeared improbable at tbis time. Cbas. 11. Sproat, as chairman of the committee on Iby-lawa tben lead substantial copy of the Farmer's Irri gating company's by-laws of the west side. Alter some remarks It was adopted as read with the exoeptlon of section 1J, wblob reads as follows Tbe board of directors may enter into water right contracts with per sons owning land under tbe diton or ditubes of this company by whiob the company shall agiee to furnish tbe amount of water therein specified tor term not exoeeding ill) yeais, at tbe rate of 130 for eaob miner's Inoh of water, whiob contract shall be in writing, under seal of tbe company. and shall specify the land upon whiob water therein contracted for is Lto be used. Each person so contracting witb tbe company for water right shall be eutitled to one iuoh of water lor each share of stock subscribed for by him and may distiibute said water on the land described in hh contract. Such water right contracts sball also provide for tbe payment of suoh an nual cbarge as tbe board ot dircetors may deem necessary to cover cost and expense ot maintaining tbe ditch es, flumes and canals of the oompany and distributing tbe water, and otbei necessary expenses of tbe oompany. suoh carge to be fixed from year to year ly tbe directors; to b payble ou tbe iu! ii day or June ot eacb year, and to be delinquent on the first day of July of eaob year aud if not paid on or befcre said last named day tbe water sbaii be abut oil from sucn de linquents. When the water is turned olf under tbe above provision it sball not be again turned on until all ar rears and obargea tben due are paid. nd in addition tbere to a cbHrge of . to oover expense of t'irning water oil and on. Tbis section became tbo subject of an animated discussion, it appears tbat the stock subscriptions were tak en witb tbe understand tbat f.10 should reptesent one share of stock which in turn lepresented one Inoh of water, aud it appeared to many tbat n effort was being made to relet tbis seotion to a cotutniUee witb authority to nx tbe value of shares so tbat tbey mig'it represent tbe real value of tbe water represented by tbe stock, in other words if tbe real value of tbe water per inob was $50 they could not tford to sell it at .iU per incb, benoe losing 120 at the very beginning aud in all futute subscriptions. The mistake made by tbe Faimer's lnigating oompany was very appar ent. They found tbat the plan of lacing tbe sbaies on a flat basis of $:10 per share was not equitable. As tbe lvalue ot the system was increased by viitue of additional impiove- ments it was sought to place tbe hares on a sliding soale, and an at tempt was made to charge subsequent urcbasers a sum In excess of tbe f.iU ptovided tor by tbe by-laws, but this was held to be illegal on account of tbe provision of the water con tracts. An understanding was finally bad and the following resolution presented by I). L. Davidson wag adopted as read to wit: "Tbat a committee of tbtee be appointed to draft seotion 12 so as not to lnciease tbe pi ice of tbe present subscribers above $30 per share; but add interest and necessary expenses to future subscribers, and to report to an adjourned meeting or tue stook holders to be held Katurday, May 18, at 1:30 p. m. in the Artisan hall."
