THIRD PARTY BENEFICIARY
CONTRACTS
A contract is an agreement,
usually between two parties,
where each agrees to do some
thing for the benefit of the
other. For example, Jones De
partment Store agrees to sell
Smith a TV set for $500. Smith
will gel the TV set and the de
partment store will get the $500.
Sometimes a contract aims to
benefit a person who is not a
party to it. This is called a
"third party beneficiary" con
tract. Here are some examples:
Brown's bank agreed with
Brown to pay his life insurance
premiums from his checking ac
count. When the bank slipped
up, the policy lapsed. Brown's
wife, the policy beneficiary, is
entitled to get from the bank
the amount of insurance she
would have received had the
policy not lapsed.
An insurance company issues
Its policy to the Enterprise De
partment Store, agreeing to pay
for any injuries caused by the
store's negligence which its
customers may suffer. Smith Is
hurl In the store and recovers a
judgment for his injuries. If the
store docs not pay (he Judg
ment, Smith as a third party
beneficiary is entitled to have
his judgment paid by the insur
ance company.
X sells his business to Y, who
agrees to pay, as part of the
purchase price, all of X's busi
ness creditors. These creditors
can sue and recover from Y if
he docs not pay them.
There arc good reasons lor
permitting third party benelic
iarics to sue on cuntracls made
fur their benefit. Unless they
could sue directly in many
cases Hie benefits they arc en
tilled In would be lost or only
obtained after involved legal
proceedings. This is an example
of how the low seeks better to
serve the people.

These Utile Pests Travel
Everywhere And Anyway
Some rode in Egyptian barges;
some in Roman chariots; some
in sailing boats of the ancient
Vikings; some went along with
Columbus; some probably even
came over in the Mayflower
with the Pilgrim fathers. Later,
some rode in pioneer wagons as
they headed west, and some
stayed "put" in houses and
buildings. Today representatives
of some, whose long ago ances
tors lived in caves a million or
more years sua, ride along to
day in modern motor cars.
If you live anywhere in these
United States where even a few
months of warm weather make
existence possible for them, they
will be in your automobile. They
are cockroaches and in the quiet
and still night, when the world
is dark they scurry back and
forth across the car's upholstery,
only to duck out of sight if the
light comes on.
"Just what?" you may ask,
"are they doing in a ear';"
Well, mostly they are there be
cause there are so many places
to hide. At least that s the most
obvious reason, but knowing a
little of the roach s disgusting
resourcefulness, it would not be
too surprising to find they arc
there because the car offers
them a way of getting places;
extending roach - pioneers an
easy method of broadening their
already too wide horizons.
Shared Caves
There may or may not he,
other insects in the car, crumbs
of food, or any other starchy
food, or perhaps they enjoy the
safely ol the car and can scam
per out for a quick snack when
the car is parked. Anyway, It's
pretty hard to lick 'em and you
can't just join 'cm. The cock
roach has been around a very
long lime. The cave man had
them to contend with, in fact
when he moved into the cave
they were already there. Scien
tists have found roaches imbed
ded in rock strata that was laid
down millions of years before
the cave man shuffled across the
earthly scene.
All down through the ages the
cockroach has adjusted itself to
changing conditions, and accept
ed things as they were at the

a mansion or a hovel; in a city
or in the country, in the bark
of a tree or under the wood-pile,
or under the kitchen sink.
In colder countries they move
into steam heated apartments,
or warm, cozy restaurants. They
can swim, fly, walk, run, crawl,
or squeeze under a door that
barely misses the floor.
Take Planes Too
They ride on trains, in motor
cars and airplanes, and travel
around the world in ships. Where
the climatic conditions are fav
orable Ihcy will live outdoors,
wherever a crack or crevice
offers a hiding place.
They avoid the daylight; they
do their "running around" when
the world is dark. They will hide
in a bag of groceries or in a
folded newspaper, waiting for
the housewife to carry them in
doors. Perhaps they don't plan
it that way, but they usually
make it.
They will hide in a suitcase,
j'usl before you close the lid,
knowing they will be warm and
cozy and can get out sometime
later in a new neighborhood.
Even if you slam the door in
their face, they won't give up.
They, and their ancestors have
always been with us, near us,
or ready to; with modern condi
tions what they are, they "never
had it so good."
