WALL STREET REFORM MOVE IS ON
A week from today in a large conference room in Wash
ington, D.C., the Government will open its first public hear
ing in its exhaustive 1962 probe of the nation's stock markets
an investigation which is spreading out to cover every
aspect of the securities business and which is sure to lead
to new, tougher laws and stricter rules governing "Wall
Street."
It's a cinch that out of this initial hearing will
come shocking disclosures of unethical if not illegal actions
bv salesmen in the securities business, revelations of dis
tinctly inadequate standards of conduct among men the public
has trusted. For the Securities & Exchange Commission has
chosen to kick ofl the public part of the Government's probe
by asking searching questions about the "qualifications,
training, supervision and selling practices of persons en
gaged in the securities business" and it's bearing down
particularly on salesmen of mutual funds to the public.
It's hardly a secret to anyone familiar with the stock
market that in some areas, qualifications of salesmen have
been inferior, training has been meager, supervision has
been lax, selling practices have been on the borderline
ol legality.
SEC chairman Cary himself has pinpointed abuses in the
mutual fund field, has criticized the "employment of part
lime or inexperienced salesman" who "may solicit from door
to door and operate from private residences remote from
their supervisors." He has emphasized that "the spread of
brancli offices" of big New York City firms has resulted
in a "diffusion of responsibility" and "increased the prob
lems of training and supervision and regulation of sales
men." There will be fireworks. Even at this early date, there
is a high probability of new legislation which would permit
the SEC to write rules compelling salesmen of stocks and
bends to the public to meet specified standards of conduct
and operation.
But while the first public hearing is a week away, the
SEC investigation already has led to a reform wave on
Wall Street.
For months now, the SEC's experts have been digging
deep into the activities of members of the leading stock
exchanges - ranging from the giant New York Exchange
down to the small regional exchanges and there has been
a perceptible lightening of controls over the members of
the exchanges and their activities.
The agency has mailed tough questionnaires to finan
cial firms distributing "hot" new stock issues last year, to
corporations selling stocks to the public, to public relations
organizations handling publicity for these corporations, to
over-the-counter brokers, etc. The questionnaires have fo
cused attention on loopholes in the laws and regulations,
spurred attempts to close the loopholes. The whole struc
ture of the ASE. which has the dubious distinction of caus
ing this broadcast probe of the securities markets in a gen
eration, is bei.-.g "cleaned" and a repetition of the scan
dals disclosed a year ago is less and less likely. In every
area, steps are being taken to upgrade the training and
supervision of securities salesmen, to tighten curbs on high
pressure advertising of slocks and advisory services. Fi
nancial public relations firms, aware that they're under the
spotlight and may be a target for new laws, are screening
their employes to make sure they're not involved in manipu
lating prices of stocks. In recent months, the once hot new
stook issues market - in which there has been appalling
manipulation - has turned to cool and down-right cold.
The abuses which the SEC has been uncovering be
hind closed doors are about to come into the open. The
methods of eliminating them are still to be determined,
appropriate laws and government regulations aren't even
in the blueprint stage.
But the reform movement already is in high gear.
Whatever is developing in regulations self-imposed by Wall
Slreet's leaders, and will develop in new government laws
and rules, will enhance the protection of buyers and owners
