3 TTOMF AND FARM MAGAZINE SECTION Oregon Blue Sky Law OR m any y ears investors of all classes w ere “ d o n e” by m any un scrupulous prom ote-s of every de scription. They worked the public on fa k e lan d deals an d to w n sites; sold acreage to farm ers which proved to be valueless or a t least unsuited fo r the crops they claim ed and upon which their p ro fits were estim ated. F ake p a ten ts on unsalable articles were prom oted, big facto ries erected and never a wheel tu rn ed , th e stockholder woke up to find him self in possession of questionable p a te n ts and a useless facto ry ; th e pro m oters bail resigned from th e company and usually were nowhere to bo found. Tho prom oters drew big salaries and commissions, sold some of th e ir personal stock and quit. From th e firs t th eir only in ten tio n w as to collect all they could and get out. Unscrupulous Promoters. These prom oters, of unscrupulous na tu re, grossly m isrepresented ev ery th in g and the small in v esto r had no m eans of checking th e ir statem en ts. The man who invests $50,000 can affo rd to hire exp erts to look into a proposition and adv ise him, bu t th e small in v esto r had no protection a t all. The resu lt was th a t everybody regarded a new e n te r prise w ith suspicion, refusing to invest, and business stag n atio u resulted, as a m a tte r o f course. It was evident th a t som ething had to be done to p ro tect the in v esto r and give a good stan d in g to leg itim ate b usi ness The Oregon L egislature, a t its last session, enacted a “ Blue S ky Law ” for th e purposo of p ro tectin g th e public from the “ Bunco M a n .” U nder this a c t a C orporation Commission w as cre ated under whose ju risd ictio n come all dom estic and foreign corporations doing business in tho S tate. They m ust sta te th e ir inten tio n s, w hat th ey w ant money for, w bat th ey will do w ith it, w hat th e business is and how th e y in tend to carry on business. A fte r th e C orporation Commissioner has satisfied him self of th e honesty and good business principles and has v e ri fied th e ir elaiins, he issues a license to do business. E very ag en t must also be reg istered and licensed. V alue o f th e Law. W hat is the value of such a law to the public? Well, th e small inv esto r in p artic u la r can now ta k e w ith confidence the statem en ts made to him because lit) feels th a t the S ta te has done w h at he is unab le to do— it has in v estig ated thoroughly and before issuing a license is convinced of th e fa ir business m eth ods an d tru th of the co m p an y ’s s ta te ments. Now the small investor, a fte r weigh ¡ng th o inform ation placed before hint, can invest with a sense of secu rity b e cause be knows th a t he has been told the tru th . How m any of us have said “ Yes, I would invest in so and so if I only knew th a t it is ‘ on the s q u a r e '! ” Why is it th a t m any prom oters have raised th e ir angry voices ag ain st the Blue S ky Law.
