'When- a partnership is formed for a definite period it is dissolved by the expiration of that period. The death or insanity of any partner operates as a dissolution. The conviction of any partner on a criminal charge, and sen tence to imprisonment for life, dis solves the partnership. It one partner becomes individually insolvent, and makes an individual as signment for the benefit of his cred itors, the partnership is thereby dis solved. Each partner is supposed to give a reasonable share of his time to the business of the firm. In case of his rcTusalor neglect to do so, the other partner or partners may ask for a dis solution and then reorganize -without him. Between the partners themselves the provisions of the articles are bind ing, and are the measure of the rights o each member of the firm. But they are not binding upon third per sons TRrho have dealings -with the firm, unless articles are shown them, or they are avraro in some way, of their tenor. Partners are trustees for each other as among themselves, -while they are agents of each other to third persons. As trustees, therefore, everything they do must inure to the benefit of the firm. No partner can take advantage of his position as a partner to obtain any private gain for himself. The test or a partnership is a community of in terest, an agreement to share both profits and losses, and a right to a voice in the direction of the affairs of the firm. As a rule no partner can sue his co partner on any matter connected with the firm affairs, so long as the partner ship continues. He can, however, sue for any private or distinct debt Bach partner is a general agent, with broad powers to act for aud bind the firm. Each partner has the pow er to buy and sell goods, and to assign any or all of the property of the part nership. Each partner can borrow money and give promissory notes of the firm as security for the loan. He can promise or release debts due the firm, without the. knowledge or consent of the other members. He may pay debts due from the firm in full, even it it takes all the assets of the partner ship. The authority of a partner is con fined to llie general scope aud custom of the business. While he might sign notes or checks, and accept bills of ex change, this must be commercial money in the ordinary course of the ' business of tho firm. Ho cannot bind the firm by a note in favor of a pri vate or individual creditor, in pay ment of a private debt, without tho consent of the other partners. Nor rcan one partner issue accomodation paper that is, sign the note of an other firm or individual as surety or indorser in the firm name, so as to bind tho other partners, without their knowledge and consent. In such case the partner signing would be person ally liable, but not the firm. One partner alone cannot execute and bind the firm by any instrument under seal, except to release debt. All the partners must execute deeds and mortgages of the partnership property, powers of attorney, etc., in order to make them valid. The partner ship creditors are entitled to be paid their debts in full out of the assets or property of the partnership, before the individual creditors oC otio partnsr can claim anything. As popularly understood the doctrine meant a political protection and a guaranty of freedom from European interference to all states of orth and South America.
