THE JOINT LEASE.
The Contract Between the Tour Eail-
road Oompanioa.
The contract between the Ore
gon Railway & Navigation com
pany, the Oregon Short Line Rail
way company, the Union Pacific
Railway company and the North
ern Pacific Railroad company,
known as the Oregon Navigation
lease, is a very lone; document,
full of lej;al verbiage and compli
cation. The effect of it is to lease
the O. R. & N. Co. to the other
three companies for a term of
ninety-nine years. It begins by
reciting the fact that the Oregon
Navigation company leased all its
property to the Oregon Short Line
on January 1, 1SS7, including rail
roads, steamships, wharves, ware
houses, telegraphs, real estate, etc.,
and that the Union Pacific com
pany became a party to the lease,
and guaranteed the performance
of the obligations of the Short
Line company.
It being deemed beneficial to all
the companies that the Northern
Pacific should become a party to
the lease, the three original par
ties agreed that the Short Line
should grant to the Northern Pa
cific an undivided one-half of all
its right and title to the lease, sub
ject to two or three modifications.
The Short Line agrees to make
schedules of all the property of
the Oregon Navigation company
by July 1, 18SS, and mark all
rolling stock Oregon Railway &
Navigation company. The Short
Line agrees to pay one-half of all
the rents and charges, and the
Northern Pacific agrees to do like
wise, and the Union Pacific con
tinues to be the guarantor of the
Short Lino company. The lease
provides that the Northern Pacific
shall have charge of the country
north of Snake river. To this end
the Northern Pacific gets posses
sion of the Columbia & Palouse
railroad.
The leased company will be in
charge of two agents and an audi
tor and treasurer appointed by the
presidents of the Short Line com
pany and the Northern Pa.-iliu
company, who shali appoint a gen
eral manager. In case of disagree
ment on any question, the presi
dents of the Short Line, the Nort'i
em Pacific and the Oregon N'iv
gation shall act as arbitrator-
settle-tho dispute. After pr. mh
ing for the expense the gem-ial
manager of the Oregon Navigation
shall remit one-half of the balance
of the revenue to the treisuier of
the Short Line and one-half to the
treasurer of the Northern Pacific.
The officers of the leased company
can be removed by the written or
der of either the president of the
Short Line or the Northern Pacific
on ten days' notice. If the North
ern Pacific shall default in its pay
ments under the lease for thirty
days the Short Line company shall
enter upon all the property of the
leased company and the Northern
Pacific company interest in the
lease shall cease. If the Union
Pacific and Short Line default the
Northern Pacific may enter upon
the property of the leased compa
ny and hold it solely to its own
use.
In view of the doubt as to the
legal ability of the Northern Paci
fic and Union Pacific to enter upon
the obligations they assume, it is
agteed that when such inability is
ascertained by "competent final
judicial authority" the lease shall
be at an end as far as the ineligible
company is concerned, but no lia
bility shall attach to the Northern
Pacific in consequence of such dis
ability on the part of the Union
Pacific. In case the Northern Pa
cific is not legally competent, "the
Short Line company may, at its op
tion, declare this indenture at an
end so far as the Northern Pacific
company is concerned," and the
Short Line company shall then
have sole control of the property,
and the original lease with the
Oregon Navigation will be in
force. If there be no disability
discovered on the part of any of
the principals for ten years it is
agreed that they shall all be con
sidered competent. It is further
provided that the Oregon Naviga
tion Company shall be put in first
class condition, that the wooden
bridges shall be replaced by iron
ones, and the Oregon Navigation
furnishes $500,000 for these better
ments. An equitable arrange
ment is mada as to rates of freight
to and from Tacoma and Portland,
and from both these points to "Wal
lula Junction. All the provisions
of the lease tend towards mutual
interests, and arbitration is pro
vided in all cases of dispute. To
provide for the Spencer-Ervin suit
against the Oregon Navigation
Company and for other contingen
cies that company sets aside $1,
