NOTICE OF SALE
Membership Interests
On June 11, 2018, commencing at 1:30 PM, HIPO, LLC, a secured creditor, will conduct a
public sale of all of the Membership Interests in three Oregon limited liability companies known
as PB & R, LLC, PB & SH, LLC and Triple R Holdings, LLC, pursuant to the terms of a security
Pledge Agreement with the Members, and pursuant to ORS 79.0610. Triple R Holdings, LLC,
the prime debtor, is the owner of real property and improvements located in downtown Pendle-
ton, Oregon sometimes commonly known as 8 SE Court Ave., 16 SE Court Ave., 30 SE Court
Ave., and 216 S Main St., Pendleton, OR 97801. Triple R Holdings, LLC currently leases or rents
a part of that real property and improvements to PB &R, LLC and a part of that real property and
improvements to PB & SH, LLC. Qualified Buyers at this public sale will have the opportunity
to auction bid on one half of, or all of the Membership Interests in each of the three entities. This
public auction sale for Qualified Buyers will be held at the offices of Tonkon Torp LLP at 888 SW
5th Avenue, Suite 1600, Portland, Oregon.
The Members of each limited liability company pledged their Membership Interests to HIPO,
LLC as security for a debt owed to HIPO, LLC, by Triple R Holdings, LLC. The debt to HIPO,
LLC has fully matured and Triple R Holdings, LLC has defaulted on its obligation to pay the debt.
PB & R, LLC operates a western wear retail store and saddle shop in Pendleton, Oregon
known as “Hamley’s Retail Store.” PB & R, LLC leases or rents this retail store and saddle shop
location from Triple R Holdings, LLC. The principal assets of PB & R, LLC are its retail inventory,
certain furnishings and tenant improvements to the leased or rented space and the licensed
goodwill value of the “Hamley’s” name. All or substantially all of the assets of PB & R, LLC are
also pledged as security for the debt to HIPO, LLC. The Hamley’s Store is an operating busi-
ness; but HIPO, LLC has no current information to know whether Hamley’s Store is operating
at a profit or loss; nor does it know the true status of its lease or rental agreement with Triple R
Holdings, LLC.
PB & SH, LLC operates a restaurant, bar and café in Pendleton, Oregon known as “Hamley’s
Steakhouse.” PB & SH, LLC leases or rents this restaurant bar and café location from Triple R
Holdings, LLC. The principal assets of PB & SH, LLC are its inventory, equipment, fixtures and
furnishings and its tenant improvements to its leased or rented space and the licensed goodwill
value of the “Hamley’s” name. All or substantially all of the assets of PB & SH, LLC are also
pledged as security for the debt to HIPO, LLC. Hamley’s Steakhouse is an operating business;
but HIPO, LLC has no current information to know whether Hamley’s Steakhouse is operating
at a profit or loss; nor does it know the true status of its lease or rental agreement with Triple R
Holdings, LLC.
The real property owned by Triple R Holdings LLC is also pledged as security for the debt
owed to HIPO, LLC. Historically, the rent paid to Triple R Holdings, LLC by PB & R, LLC and
by PB & SH, LLC – when it was paid – has been sufficient to pay the real estate taxes, insur-
ance and maintenance and substantially service the debt now due HIPO, LLC before that debt
matured.
The Membership Interests being sold at this auction sale are “unregistered securities” under
the laws of the State of Oregon and the United States and anyone desiring to bid on the sale
of these Membership Interests must be a “Qualified Buyer” in order to bid. To be a “Qualified
Buyer” a person must have an exemption for the purchase of unregistered securities such that
the purchase will not require registration of securities under the laws of the State of Oregon and
the United States. Additionally, each of the Membership Interests are being sold subject to the
terms, conditions and restrictions of Operating Agreements between Members.
In conducting the sale of the Membership Interests, HIPO, LLC makes no representation to
a Qualified Buyer as to the use or value of the Membership Interests nor the use or value of the
assets owned by any underlying company. And, although PB & R, LLC is operating Hamley’s
Retail Store, HIPO, LLC has no current financial information to know whether any company is
being operated at a profit or at a loss, and HIPO makes no representation as to the profitability
of its operations. Likewise, although PB & SH, LLC is operating Hamley’s Steakhouse, HIPO,
LLC has no current financial information to know whether it is being operated at a profit or at a
loss, and HIPO, LLC makes no representation as to the profitability of its operations. And, HIPO,
LLC makes no representation to any Qualified Buyer as to the title, condition or value of the real
estate owned by Triple R Holdings, LLC, or the status of leases or rental agreements between
Triple R Holdings, LLC as landlord and PB & R, LLC and PB & SH, LLC as respective tenants.
The Membership Interests are being sold “AS IS” and without any warranty of any kind.
To be a Qualified Buyer to bid on the purchase any of the Membership Interests to be sold,
a person must first execute and deliver to HIPO, LLC on a form to be provided by HIPO, LLC,
a written statement that represents, acknowledges and agrees to all of the following: (a) the
Membership Interests sold are not registered securities under state or federal law, based in part
on reliance on the representations provided by each Member, and there is no public market for
the Membership Interests, (b) the person is an “accredited investor” as such term is defined un-
der Rule 501 of Regulation D under the Securities Act of 1933, as amended, (c) the person has
obtained and reviewed the Limited Liability Company Agreement governing the Membership In-
terests of each Company on which the person intends to bid, (d) the person has such knowledge
and experience in financial and business matters that he is capable of evaluating the merits and
risks of the purchase of any or all of the Membership Interests and of protecting his interests in
connection with the purchase of the Membership Interests, (e) the Membership Interests will be
purchased by the person for investment for the person’s own account, not as a nominee or agent,
and not with a view to the resale or distribution of any part thereof, (f) the person believes that
he has received all the information necessary or desirable for determining whether to purchase
the Membership Interests, and has had the opportunity to obtain additional information neces-
sary to verify the accuracy of any information furnished to the person or to which the person
has had access, (g) the Membership Interests are subject to substantial restrictions on transfer
imposed under the applicable Limited Liability Company Agreement governing the Membership
Interests, (h) the person may be required to register all Membership Interests purchased under
applicable state and federal law before they can be transferred again, (i) the person has the full
right, power and authority to bid on and purchase the Membership Interests, and (j) the person
has identified his source of bidding funds, to close the purchase of Membership Interests bid on,
to the satisfaction of HIPO LLC.
To become a Qualified Buyer to bid on the purchase of these Membership Interests, a pro-
spective bidder will need to contact Spencer Fisher at Tonkon Torp, LLP and request a prospec-
tive purchaser form, fill out that form with complete and accurate detail requested by that form,
and return it to Tonkon Torp LLP on or before June 8, 2018. Tonkon Torp LLP as attorneys for
HIPO LLC, will determine, based on the form information provided by a prospective purchaser,
whether a perspective purchaser is a Qualified Buyer and shall notify that prospective purchas-
er of its determination of qualification or non-qualification. Tonkon Torp LLC’s determination
shall be final.
The respective Membership Interests of each of the Members in each limited liability company
will be sold separately, in an alternating bid process, to highest Qualified Buyer bidder for cash,
all due and payable at the end of the Sale. However, HIPO, LLC has the absolute right to cancel
the Sale at any time, before or during the Sale; and HIPO, LLC reserves the right to refuse the
highest bid on any one of the Membership Interests in any one of the limited liability companies,
for the reason that the highest bid does not meet HIPO, LLC’s estimated value of that Member-
ship Interest or that the highest bid for a Membership Interest in one company lessens the value
of the unified ownership of all of the Membership Interests. HIPO LLC’s determination of the
acceptance of the highest bid shall be final.
