The new owner will pur chase 80 per cent of the stock. Under terms of the deal. Wheel er w 1 1 1 purchase all - preferred stock, about $5000 worth, in full for cash, and the stock will be called. The remaining stock will come under a deal In which Wheeler will pay 80 per cent cash and give 9 shares at $5 a share In the new concern, thus repre senting a return of $125 on each $100 of stock now held. J. F. Potter, president presided at the meeting and J. F. Smith acted as secretary. Eighty-sereo rotes were cast. - Incorporates Business Wheeler will change the name of the business, started nearly 18 months age to bring lumber back Into the picture here after the Hammond interests withdrew, to the Mill City Manufacturing, Co., Inc. The new owner plans to en large the mill and will continue the same force now working. The plant has been sawing 50,000 feet daily. ' The mill was organized with a capital stock of $50,000, of which $5000 'was "preferred stock, and was largely as a cooperatlre un dertaking by Mill City residents who worked out a large part of their subscription when the mill was being constructed and estab lished. It la located on the large log ponnd a half mile east from Mill City, formerly owned by the Hammond ! Lumber company. J. F. Potter, president of the company, stated that the com pany is in excellent financial condition and has met all its ob ligations and earned interest on preferred stock. Town Marshal Boots is nursing a sore head in Philomath today as a re sult of being struck by his own night stick wielded with force by T. M. Peacock, Albany logger. The blow, which knocked the Philomath officer out and landed Peacock and his companion, B. D. Fish, also of Albany, in the Benton county jail here,! came when the law officer ordered the two men to leave town after they bad created a disturbance! A battle royal ensued.
