Pacific Resumes Control of
Northwestern lines.
COURT ORDER IS ISSUED
Judge Bean 'Approves Application
in Petition for Modification
of Previous Decree.
By an order Issued yesterday in
federal court, Inf. petition for the
modification of a previous decree,
the Pacific Telephone & Telegraph
company reassumed control of the
properties and lines of the North
western Long Distance Telephone
company, from which it was di
vorced in March, 1914. Judge
Bean's approval of the application
followed the expressed sanction of
the interstate commerce commis
sion, wihich recently held that such
a merger would be in the interest
of public service.
Under the terms of the telephone
merger, as ' set forth in the plain
tiff's petition, the Pacific company
leases the lines and equipment of
the Northwestern company for a
period of 15 years, at an annual
rental of $34,750, with the additional
provision that the lease may be
terminated at any time by the out
right purchase' of the property, and
that in any event, at the termina
tion of the lease, the Pacific com
pany may acquire ownership upon
the payment of $250,000 and the
cancellation of the $295,000 debt
now owned by the Northwestern
company to the lessee.
Amalgamation Formerly Ponght.
The modification of the order of
1914 is a direct reversal of the gov
ernment's attitude at that time,
when it was held that the amal
gamation of the two lines was in
imical to proper competitive service.
In 1911 the Pacific company ac
quired by purchase the property of
its competitor, and operated the two
telephone systems jointly for three
years. Action to compel an un
merger was then Instituted by the
government and successfully carried
through, the court order requiring
that the Pacific company dispose
. of its controlling interest in the
Northwestern company within 90
days. The purchaser of the securi
ties involved was Francis H. Crosby,
who thereafter managed the lines
of the lesser corporation.
In the petition for modification
of decree, it was represented that
the Northwestern company, despite
the advantage of permission to use
the long distance exchanges of its
competitor, was wholly unable to
complete the payment of its indebt
edness to the Pacific company, or
to increase its revenues to the point
where its securities would be at
tractive in open market. There was
still due the sum of $295,000 from
the sale of its securities at the time
of the unmerger.
Joint Hearlngf-Heia.
At a joint hearingof the inter
state commerce, commission with
the public service commission of
Oregon and the department of pub
lic work of Washington, these and
other facts pertinent to- the petition
were presented, with the result that
the interstate commerce commission
voiced formal approval of the con
templated step, holding that it
would be of benefit to the patrons
of the telephone lines.
Recommended by the federal body,
as well as approved by the public
service officials of the two states
concerned, the modification of de
cree met with no opposition when
brought befcre Judge Bean.

net flouncing I would have a
long-waisted black satin crepe,
slightly fitted la at the waist line
and extended in straight line five
inches below the natural belt line.
The sleeve quite short andi attached
to the low shoulder drop, now so
popular. The sleeve should also
bear the tighter line. Fasten the
blouse at back, using the small eatin
button. The skirt should measure a
yard and five-eighths and six inches
from the floor line. Now for the
flouncing: There is a most attrac
tive way in which it can be used.
Hold in one end of your net to a
six-inch width, placing it at the un
der aide of the blouse four inches
from the middle back line and to
the right; drape in a garland line,
allowing sufficient length to permit
an end drop from left hip. I sup
pose that one side of your material
has the scallop border, the other
with the old gold-pecot edged rib
bon in the three-quarter inch width.
Where the drape begins its descend
ing line at the right, place on the
blouse edge a whirl of the ribbon,
about six inches in diameter. The
draped lace is one of the new trims
and I am sure you will enjoy your
frock If made after this plan. Two
and live-eighths yards of satin crepe
will be needed.
