plants shall be required to
account to the purchaser of the Sumner

shall assume by the fact of the pur
chase, the sales and purchase commit
ments of the receiver to the extent. If
any, that the lessee shall not carry out
and perform such commitments, the
purchaser and not the receiver, in tht
event, being liable for any such sa les

situated at Sumner. Pierce county.
Washington. "The term "plant' as here
in ae-iguai-a includes tne plants,
warehouses and buildings, engines,
boilers, belting, machinery, equipment
and appliances and office equipment,
and includes the real estate en whirh
said plants are situated or which is
used in connection therewith.
The property to be offered for sale
shall include all of the interest of the
company or - its receiver in certain
property acquired under conditional
sale contracts, the purchaser as to such
machirtery and .equipment acquiring
the rights of the said company and of
the receiver, and having any and all
claims which "the defendant company
tend the receiver have. The property
to be offered shall include the Lease
hold interest of the defendant company
in certain machinery and equipment,
which leasehold interest shall be sold
with the plant, the purchaser to as
sume any further liability thereunder.
The property shall be offered subject
to the lease of the receiver to the I's

the purchaser shall be eutil led to an
accounting from the purchaser of the
Puyallup plants, unit No. 1, for rental
paid by the lessee on account of the
pack in the Sumner plant during the
season of 1922.

The property offered shall not in any
case include the bills and accounts re-

partly manufactured material and
products or supplies.
If the sum of the highest bids for
the separate units aggregate more than
the highest bid fr the plants as a
whole, then the suit bids will be ac
cepted a nd each plant struck off to
the highest bidder for that plant. If the
highest bid for the plants as a whole
is greater than the aggregate of t he
highest bids for the st-purat e units,
then the property shall be struck off to
the highest bidder for the plants as a
whole. N bid for the property as a
whole shall foe received for less than
$270,000. Kach successful bidder shall
deposit with the receiver at the time
such property is struck off to him. 2-"i

successful bid or bids to the court

with his recommendations thereon, and
the matter of the confirmation of said
sale, if made, will come on for hearing
before the court tn the federal building
at Tacoma, Washington, on the ftt h day
of September. 1(22, at the opening of
court, or as soon thereafter as counsel
can be heard, at which time all in
terested persons may be heard as l
the acceptance or rejection of such
bid or bids.
