marks, convrie-ht., ontent or natent
rights, if any, relating to business of
the kind heretofore transacted Dy saia
company, the corporate name insofar
-as it is descriptive of the goods man

records and files of said company so
far as such access may be necessary
- or convenient tor the purpose or pre
serving the good will and business of
said company, but without interfer
ence with the paramount right of the
receiver therein. The property to be
offered shall not include a certain
leasehold on which the feed mill is sit
uated, or the feed mill The property

terest of the said company or of its re
ceiver in certain personal property ac
quired -under conditional sale con-
l tracts, - the purchaser as to such ma
chinery and equipment acquiring the
rights of the said company and of the
receiver and having any and ail claims
which the defendant company or its
receiver has.
The property to be offered shall also
-include the leasehold interest of the
said company in certain machinery and
equipment, which leaselfold interest

chaser to assume any further liability

purchaser of the Puyallup .property
shall assume by the fact of the pur
chase, the sales and purchase commit
ments of the receiver to the extent, if
any, that the lessee shall not carry out
and perform such commitments, the
purchaser and not the receiver, in that
event, being liable for any such sales
and purchase commitments and having
all the rights against the lessee which
the receiver otherwise would have. The
purchaser shall also take the property
subject to the right of ingress and
egress to the feed mill heretofore
granted to Clark & Hodge and their
assigns, through the private alley be

company and the Northern Pacific
tracks.
Unit No. 2, Snmner Property.
The plant of the Puyallup & Sumner
Fruit Growers' Canning company for
the canning of fruit and vegetables,
situated at Sumner. Pierce county,
Washington. The term "plant" as here
in designated includes the plants,
warehouses and buildings, engines,
boilers, belting, machinery, equipment
and appliances and office equipment,
and includes the real estate on which
said plant are situated or which is
used in connection therewith. .
The property to be offered far sale
shall include all of the interest of the
company or its receiver in certain
property acquired under conditional
sale contracts, the purchaser as to such
machinery and equipment acquiring
the rights of the said company and of
the receiver, and having any and all
claims which the defendant company
and the receiver have. The property
to be offered shall include the lease
hold interest of the defendant company
in certain machinery and equipment,
which leasehold interest shall e sold
with the plant, the purchaser to as
sume any further liability thereunder.
The property shall be offered subject
to the lease of the receiver to the Pa
cific Northwest Canning company, and

Sumner Fruit Growers' Canning com
pany), dated February 2, 1920, whereby
the Packing: corporation undertakes
to- supervise the " construction of a
cherry pitting and cold packing plant
of not less than 1000 barrels ieason
capacity, at or near Loveland, Colo
rado, Paulhamus (Puyallup &. Sumner
Fruit Growers' Canning company) to
furnish the funds therefor, and the In
terest of the said company in the con
structed plant. Under the terms of said
contract the Colorado Packing corpora
tion or assigns claim to have an op
tion to purchase said plant, expiring,
three years from February 2, 1920.
The property offered shall not in any
case include the bills and accounts re
ceivable, moneys, contracts, choses in
action, raw material, manufactured or
partly manufactured material and
products or supplies.
If the sum of the highest bids for
the separate units aggregate more than
the highest bid for the plants as a
whole, then the unit bids will be ac
cepted and each plant struck off to
the highest bidder for that piant. If the
highest bid-for the plants as a whole
is greater than the aggregate of the
highest bids for the separate units,
then the property shall be struck off to
the bighest bidde for the plants as u
whole. No bid for the property as a
whole shall be received for less than
i $270,000. Each successful bidder .shall
deposit with the receiver at the time
such, property is struck off to him, 25
per cent (25) of the amount of his
bid, the balance to be payable imme
diately upon the confirmation of the
sale by the court. Such deposit shall
be returned to any bidder or bidders
whose bid shall not be confirmed.
Except as hereinbefore stated, the
property is to be offered for sale free
of any liens or encumbrances.
The receiver is required by order of
the court to file with the clerk of the
above entitled court, for inspection of
all interested persons, within ten 10)
days from July 31, 1922, separately in
units as hereinbefore defined, a list
of the real property so to be offered
for sale, and a list or schedule, with
such particularity as may be reasonably
passible, of the personal property which
is the subject of the sale, and a list
of the leases of the machinery and
equipment, together with their terms
and conditions, which are to be in
cluded in the sale; and also to file
with the said clerk within the time
hereinabove named, a list of the prop
erty acquired under conditional sale
contracts, and a general statement of
the facts existing relating to such con
ditional saie contracts, and to file
with the clerk of said court within the
time named (unless already a part of
the files) a copy of the form of the
lease of the receiver of said plants to
the Pacific Northwest Canning com
pany, and to file a copy of said con
tract with the Colorado Packing cor
poration. Reference is made to the
lists and schedules so to be filed for
s a more complete statement of the prop
erties and rights to be sold.
The receiver is required to report the
successful bid or bids to the court
within three 3) days after the sale
with his recommendations thereon, and
the matter of the confirmation of said
sale, if made, will come on for hearing
before the court in the federal building
at Tacoma, Washington, on the 6th day
of September. 1922. at the opening of
court, or as soon thereafter as counsel
can be heard, at which time all in
terested persons may be heard as to
the acceptance or rejection of such
bid or bids. ,
Any information desired will be fur
nished by the receiver upon application
at his address below stated. The prop
erty will be open to inspection by any
interested person at any rea-sonable
time.
