EVENING ROSEBDRG REYIEW MAY 2, 1914. ANSWER TO THE BUT .. .. FOit R. R. VNMERflER. , SALT LAKE CITY, May 1. The,, Southern Pacific Company on April 30 filed in the District Court of the United States for the district of Utah its answer in the Government BUlt to divorce the Central Pacific from the Southern Pacific. The answer, after specifically denying all allegations that the Sherman Anti-Trust law has been violated, points out not only that the two lines were originally built, operated and developed aB one road, but that, as far back as 1898, the United States Government, it- Belf, practically recognized the com- . bination as wholesome. It shows, furthermore, that in the Joint operation of these lines, thru ! trains have been run by the moBt direct or convenient route without reference to their ownership; and that any separation of the Central Pacific lines from those of the South ern Pacific cannot now be had with out detriment to both properties, and without Impairing and inconvenienc ing the public service and the com munities through which the llneB pass. ; In a brief historical resume, the following facts are brought out: i- 1st. That the lines of the South ern Pacific Railroad Company were built as extensions and connections of the lines of the Central Pacific Railroad Comuany. and by the same , stockholders. That, relying on the terms, under which the Central Pacific's' debt to the Government of I58,0uu,- 0U0 was settled in 1898, the Southern Pacific Company undertook heavy financial obligations, not only guar anteeine the payment of this debt. but also guaranteeing the J 100.000 000 four per cent mortgagee bond is' sue of the Central Pacific. In this' connection, it Is contended that the Government could not consistently ; and with Justice have accepted this settlement of which it did have full knowledge as party thereto, if the arrangement Involved a relation be- tween the roadB contrary to public policy. 5th. That, even as late as 1912, in the recent so-called Harriman un merger suit, when the United States Supreme Court ordered the dissolu tion of the Union Pacific and the Southern Pacific, the court, the high est In the land, found no reason to disturb the relations between the Central Pacific and the Southern Pa cific. The Supreme Court ordered the dissolution of the Union from the Southern Pacific, but as to the Central-Southern Pacific relations, said: We find no reason to disturb the action of the court below." Commenting on the fact that the lines were In one ownership andman- agement and developed as one prop erty, the early part of the answer points out that, because of this fact, little heed was given as . to which corporation' should hold the title to terminal properties and branch lines. Accordingly branch lines from points on the Central Pacific were built and owned by the Southern Pacific Rail road Company, these branches having no connection with the main line of the Southern Pacific Railroad Com pany except through Central Pacific lines. At important points the en tire title to valuable terminal prop erties was taken and held In the name of the Central Pacific Railroad Company. At other points the title to terminal properties was held by the Southern Pacific Railroad Com pany. Any separation of the Central Pa cific lines from the Southern Pacific lines cannot now be had except with great detriment and Injury to each of these companies, and in order that these lines should now be operated as separate properties, there must be expended very large sums of money to secure separate terminals to complete these properties for op- PHONE 128 For frelehtlae, piano. Government of a subsidy to the Central Pacific Kail road Company, by. which that com pany became indebted to the Govern ment in a sum exceeding 858,000,- 000.. . On July 7, 1898, Congress passed an act providing that the Secretary of the Treasury and Secretary of the Interior and Attorney-General consti tute a commission with full power to settle this Indebtedness by agree ment between them and the railroads Involved and with the written ap proval of the President of the United States. il.KMAI.K AXI VICINITY.
